Profile

I have acted for many of Australia's major insurers, reinsurers and brokers on landmark acquisitions, demutualisations and restructures and had the lead role in some of Australia's largest Court approved schemes for the transfer of insurance portfolios.

My other passion is for corporate governance. As the head of MinterEllison's Corporate HQ Advisory area, and as a Fellow of the Governance Institute of Australia, I enjoy my work training clients on directors' duties and governance issues, especially as they affect banks, insurers and other regulated financial institutions, health and aged care organisations and educational institutions.

    ASIC's review of total and permanent disability (TPD) insurance identifies 'significant industry-wide problems with the design of total and permanent disability (TPD) insurance and the claims handling process and calls on insurers and superannuation trustees to take 'urgent' action to raise standards. 
    However, the FSC has queried whether the findings remain current.  According to The FSC, the 2018 data 'tells a very different story'.

  • FRC consultation on a Code of Conduct for large UK private companies

    Large private companies in the UK are being urged by the Financial Reporting Council (FRC) to engage in consultation on, and to sign up to, a new code of corporate governance for private companies — the Wates Corporate Governance Principles for Large Private Companies (the Wates Principles) — both to improve governance standards and rebuild trust in the wake of a number of recent corporate scandals.  Separately, new corporate governance reporting requirements (Companies (Miscellaneous Reporting) Regulations 2018) were laid before parliament this week.  In anticipation of their imminent approval, the government has released guidance on meeting these new requirements.  The FRC states that compliance with the new Wates Principles will satisfy the new regulatory reporting requirements.
