Profile

I have a strong skill set in the preparation of contracts in relation to the commercial and operational elements of major sporting stadia, including international performers (Rolling Stones, AC/DC), functions and activities, and motor sport events (Clipsal 500 and V8 Supercars).

I also have key portfolio expertise covering trusts, estate and business succession planning, and asset protection – fields closely aligned to wealth generation, control and preservation.

I advise local and interstate clients on corporate and commercial matters ranging across private mergers and acquisitions, structuring and the establishment and operation of trusts, negotiation and preparation of shareholder and unit holder agreements, drafting and advising changes to company constitutions, and the plethora of contracts arising in general commercial practice.

In addition, I hold a Master of Taxation from UNSW and practised in the fields of state and federal taxes for some 20 years.

Career highlights

  • Adelaide Oval's Stadium Management Authority – advised upon, drafted and negotiated multiple complex contracts in relation to the operation of the redeveloped Adelaide Oval after the construction phase, including for cleaning, concert, hospitality, security, sponsorship, as well as venue use agreements with Cricket Australia and the AFL. Also advised upon and co-ordinated delivery of legal services for the Adelaide Oval Hotel project.
  • Motor sport events – advised upon and documented the sanction agreement for the V8 Supercars at Hidden Valley, Darwin.
  • A China-based mining company – guided the client through the Australian Securities Exchange (ASX) listing process.
  • A listed pipe rehabilitation manufacturing company – advised on ASX listing compliance, subsequent privatisation, demerger of subsidiaries and operational restructuring.
  • An ASX-listed company – played a key role in documenting and completing the sale of a major camping and outdoor leisure retailing business.
  • A managed investment scheme operator – assisted with the restructuring of its vineyard operations.
  • An Australian trust estate, and UK and British Virgin Island entities – advised in relation to the structuring of offshore intellectual property, and commercialisation and acquisition with a view to listing.
  • A South Australia-based trust estate – prepared a trust deed and ancillary documentation to establish the trust estate as a multi-generational asset and wealth accumulation vehicle.
  • Acted for vendors and purchasers in the sale and purchase of large, medium and small businesses, including conducting due diligence reporting and advising on associated state and federal taxation issues.
  • Delivered estate and business succession planning, advising on testamentary trusts and the establishment and uses of inter vivos fixed and non-fixed trust estates for commercial purposes.
  • Advised in relation to Australian financial services licensing, structuring and associated due diligence; ASX listing and compliance; capital reductions; duties of directors; and fundraising by issuing securities or interest in managed investment schemes.
  • Previously held office as a non-executive director of a responsible entity, and as a non-executive director and chairman of an Australian proprietary company conducting business in Singapore and Australia that dealt with the electronic design of computer chips.
